These Terms & Conditions ("Terms") govern your access to and use of the AXIAR website, mobile apps and related services (the "Platform"), operated by AXIAR GLOBAL LLC ("AXIAR", "we", "us" or "our"), Sharjah Media City Free Zone, United Arab Emirates.
By accessing or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, you confirm that you are authorised to accept these Terms for that company.
1. About the Platform
AXIAR is an industrial manufacturing exchange. Buyers can submit Requests for Quotation (RFQs) for machining, fabrication and related work, and verified manufacturers and machine owners ("Vendors") can list machines and available capacity and respond with quotations.
Unless expressly agreed otherwise in writing, AXIAR acts as a facilitator connecting buyers and Vendors.
2. Eligibility and Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- Information you provide (including company, trade licence and contact details) must be accurate and kept up to date.
- You are responsible for keeping your login details confidential and for all activity under your account.
- We may verify, approve, suspend or reject any account or listing at our discretion.
3. Buyer Responsibilities
- RFQs must describe genuine requirements and include accurate drawings, specifications, quantities and timelines.
- You must have the right to share any drawings, designs or files you upload.
- You are responsible for reviewing quotations and confirming technical requirements before placing an order.
4. Vendor Responsibilities
- Machine listings, capacity, capabilities, certifications and pricing must be accurate and kept current.
- Quotations must be made in good faith, and accepted orders must be fulfilled to the agreed specification, quality and delivery date.
- Drawings and information received through the Platform must be kept confidential and used only to quote for and fulfil the related order.
- You are responsible for holding all licences, permits and insurances required to carry out the work.
5. Quotations and Orders
- Quotations are valid for the period stated in them, or 30 days if no period is stated.
- An order is formed only when a quotation is accepted in writing or through the Platform.
- Prices are in UAE Dirhams (AED) unless otherwise stated, and are subject to applicable VAT.
- Payment terms, delivery, inspection and acceptance are as set out in the accepted quotation or order.
6. Fees
Using the Platform as a buyer is currently free unless agreed otherwise. Vendor fees, commissions or subscription charges, if any, will be communicated before they apply.
7. Prohibited Use
You must not:
- Post false, misleading or unlawful information, or impersonate any person or business.
- Use the Platform to bypass AXIAR on transactions introduced through the Platform where this is restricted by an agreement with us.
- Upload content that infringes intellectual property rights or contains malware.
- Attempt to access accounts, systems or data you are not authorised to access, or disrupt the Platform.
- Scrape, copy or resell Platform data without our written permission.
8. Intellectual Property
The Platform, including its design, software, logos and content (other than content you upload), belongs to AXIAR or its licensors. You keep ownership of the drawings, files and content you upload, and you grant AXIAR a limited licence to store, process and share them as needed to operate the Platform and deliver the services.
9. Confidentiality
Both buyers and Vendors must treat non-public information received through the Platform, including drawings, specifications and pricing, as confidential, and use it only for the purpose for which it was shared.
10. Disclaimers
The Platform is provided "as is" and "as available". While we verify Vendors, we do not guarantee the quality, safety, legality or timeliness of work performed by any Vendor, or the accuracy of any listing or RFQ. Buyers and Vendors are responsible for their own agreements with each other.
11. Limitation of Liability
To the fullest extent permitted by law, AXIAR will not be liable for any indirect, incidental or consequential loss, or for loss of profit, revenue, data or business opportunity, arising from use of the Platform. Our total liability for any claim relating to the Platform is limited to the fees you paid to AXIAR in the three months before the claim arose.
12. Indemnity
You agree to indemnify AXIAR against claims, losses and expenses arising from your breach of these Terms, your content, or your dealings with other users of the Platform.
13. Suspension and Termination
We may suspend or terminate your access to the Platform at any time if you breach these Terms or if required by law. You may stop using the Platform at any time. Sections that by their nature should survive termination will continue to apply.
14. Privacy
Our use of personal information is described in our Privacy Policy, which forms part of these Terms.
15. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they were last changed. Continued use of the Platform after an update means you accept the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates. Any dispute will be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.
